These Terms of Service govern your access to and use of www.ujenzipoa.com and any related webpages, forms, scheduling tools, communications and services operated by Ujenzi Poa (“Ujenzi Poa,” “Company,” “we,” “our” or “us”).
By accessing the website, submitting an inquiry, scheduling an appointment, creating an account or otherwise using our website, you acknowledge that you have read and agree to these Terms of Service and our Privacy Policy.
If you do not agree with these Terms, you must discontinue your use of the website.

2. Scope of the Website
Ujenzi Poa operates across construction, energy-product resale and mining-related activities. The website provides information concerning our company, services, products, capabilities, projects and potential business opportunities.
Website content may address:
Residential and commercial construction;
Remodeling, renovation and property-improvement services;
Construction planning and project coordination;
Petroleum and industrial-product sourcing and resale;
Products such as EN590 diesel, Jet A-1 aviation fuel, gasoline, fuel oil, sulfur and urea;
Mining operations and mining-development opportunities;
Technical, supply, investment and commercial partnerships; and
Related consultations, appointments and customer-support services.
The website provides general information. Except where expressly stated in a separately executed written agreement, website content does not create a binding offer, quotation, warranty, guarantee, agency relationship, partnership or contractual obligation.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use our services or submit a business inquiry.
If you use the website on behalf of a company or other organization, you represent that you have authority to act for that organization and bind it to these Terms.
4. Construction Services
Descriptions of construction services, projected schedules, preliminary budgets, photographs, examples and general pricing information displayed on the website are informational.
A construction project will be governed by a separate written proposal, estimate, scope of work or construction agreement accepted by the parties.
Unless stated in an executed agreement:
Website descriptions do not constitute a guaranteed quotation;
Project prices may change based on site conditions, material costs, labor requirements, permitting requirements and changes in scope;
Project schedules are estimates and may be affected by inspections, weather, material availability, subcontractor scheduling and other circumstances;
Photographs and examples do not guarantee identical results; and
A website inquiry does not obligate Ujenzi Poa to accept or perform a project.
Clients are responsible for disclosing known property conditions and providing accurate information reasonably required to evaluate a project.
Applicable licensing, permitting and inspection requirements may vary by project, service and jurisdiction. The responsible parties will be identified in the applicable written construction agreement.
5. Energy Products and Petroleum Transactions
Ujenzi Poa may operate as a reseller of petroleum, petrochemical and industrial products. Ujenzi Poa is not represented through this website as a refinery, producer or terminal operator.
Product information displayed on the website does not constitute an offer to sell, proof of product, product allocation, title confirmation or guarantee of availability.
All proposed transactions are subject to:
Product availability;
Seller and buyer acceptance;
Corporate and beneficial-ownership verification;
Know-your-customer and counterparty due diligence;
Applicable sanctions, export-control and anti-money-laundering screening;
Product specifications and quality requirements;
Agreement on price, quantity and delivery terms;
Verification of authority to sell or purchase;
Acceptance of the transaction procedure;
Execution of definitive written agreements;
Inspection and documentary requirements;
Banking approval, where applicable; and
Compliance with all applicable laws and regulations.
No petroleum-product transaction becomes binding solely through an email, website inquiry, form submission, letter of intent, request for quotation, corporate purchase order, soft offer, full corporate offer, memorandum or preliminary discussion unless the document expressly states that it is binding and is signed by authorized parties.
The definitive Sales and Purchase Agreement or other final contract will control the transaction.
Where Ujenzi Poa enters a transaction as a reseller, it may enter one agreement to purchase a product from an upstream seller and a separate agreement to resell that product to a downstream or exit buyer. Direct delivery, nomination of a receiving party or issuance of title documents to another party must be expressly authorized by the applicable contracts and accepted by the relevant seller, terminal, carrier, financial institution and other required parties.
Delivery terms, transfer of risk and transfer of legal title must be determined by the applicable contract. Use of an Incoterms rule does not, by itself, determine the transfer of legal ownership.
No statement on the website should be interpreted as financial, investment, banking, tax, customs, engineering or legal advice.
6. Mining Information and Opportunities
Information concerning Ujenzi Poa’s mining activities, mineral resources, production capacity, development plans or potential reserves is provided for general informational purposes.
Resource quantities, production projections and expansion estimates may be preliminary and may remain subject to:
Geological investigation;
Independent technical verification;
Laboratory analysis;
Surveying and measurement;
Licensing and regulatory review;
Environmental review;
Engineering assessment;
Operational testing; and
Commercial feasibility analysis.
Nothing on the website constitutes an offer to sell securities, solicit an investment or guarantee a financial return.
Any mining investment, joint venture, equipment-financing arrangement, offtake agreement, technical partnership or similar opportunity will require separate due diligence, negotiation and definitive written agreements.
Prospective partners must obtain their own legal, technical, environmental, financial and tax advice before entering a mining-related transaction.
7. Requests, Quotations and Proposals
You agree that information submitted through an inquiry form, appointment form, telephone call, email or other communication must be accurate and complete.
Unless expressly identified as binding:
A request for quotation is a request for proposed pricing and terms;
A letter of intent records preliminary interest;
A proposal or quotation may be withdrawn, revised or made subject to additional conditions;
Product and service availability may change without notice; and
Preliminary communications do not require either party to complete a transaction.
Ujenzi Poa may decline an inquiry or proposed transaction at its discretion, subject to applicable law.
8. No Professional Advice or Guaranteed Outcome
Information provided through the website is general business information. It should not replace advice from appropriately qualified legal, engineering, geological, environmental, financial, tax, customs, insurance or other professional advisers.
We do not guarantee that:
A construction project will qualify for a particular permit, financing program or property valuation;
A requested product will be available;
A seller or buyer will accept proposed procedures;
A financial institution will approve a payment instrument;
A transaction will close;
A mining opportunity will achieve projected production; or
A particular commercial result will be obtained.

9.10 SMS Compliance
Ujenzi Poa intends to operate its messaging program in accordance with applicable requirements, including the Telephone Consumer Protection Act, applicable Federal Communications Commission rules and relevant wireless-industry standards.

When you provide contact information, you authorize us to respond to your inquiry through the communication methods you selected or reasonably used to contact us.
You consent to receiving agreements, notices, disclosures and other records electronically where permitted by law. Electronic communications satisfy legal requirements that communications be in writing, subject to applicable law.
You may withdraw consent for optional promotional communications at any time using the unsubscribe method provided in the message.
11. Privacy
Our collection and use of personal information are governed by our Privacy Policy:

The Privacy Policy is incorporated into these Terms by reference.
You should review both documents before submitting personal, business, financial or transaction-related information.
Do not submit bank credentials, payment-card information, government identification documents or other sensitive information through a general website contact form unless Ujenzi Poa specifically directs you to an authorized secure method.

Provide accurate and current information;
Keep your login credentials confidential;
Promptly update inaccurate information;
Accept responsibility for activity conducted through your account; and
Notify us immediately of suspected unauthorized access.
Ujenzi Poa is not responsible for losses resulting from your failure to protect your credentials, except where responsibility cannot lawfully be excluded.

Submit fabricated corporate, banking, inspection, product or identity documents; or
Use website content to misrepresent a relationship with Ujenzi Poa.
We may investigate suspected misuse and cooperate with lawful requests from regulators or law-enforcement authorities.
14. Intellectual Property
The website and its contents—including text, graphics, photographs, videos, designs, logos, trademarks, downloadable materials and software—are owned by or licensed to Ujenzi Poa and are protected by applicable intellectual-property laws.
We grant you a limited, revocable, nonexclusive and nontransferable right to access the website for lawful personal or internal business purposes.
Without prior written authorization, you may not:
Reproduce or republish substantial website content;
Modify or create derivative works from website materials;
Sell, license or commercially exploit website content;
Remove copyright, trademark or proprietary notices;
Use Ujenzi Poa’s name or branding in a misleading manner; or

You may print or download reasonable portions of the website for personal review or legitimate internal business evaluation, provided all proprietary notices remain intact.
15. Materials Submitted to Ujenzi Poa
You retain ownership of materials you submit to us.
You grant Ujenzi Poa a nonexclusive, worldwide, royalty-free license to use, copy, store, process and share submitted materials only as reasonably necessary to:
Respond to your inquiry;
Evaluate a proposed project or transaction;
Provide requested services;
Comply with legal and regulatory obligations;
Protect our rights; or
Perform an agreement with you.
You represent that you are authorized to submit the materials and that our permitted use of them will not violate another party’s rights.
We will not publicly use your name, testimonial, project photographs or proprietary business information for marketing without permission where such permission is legally required.
16. Third-Party Websites and Services
The website may link to third-party websites or use third-party scheduling, payment, messaging, mapping, analytics, document-management or communication services.
A link does not constitute endorsement or guarantee of the third party.
Third parties operate under their own terms and privacy policies. Ujenzi Poa is not responsible for third-party content, availability, security or business practices, except to the extent responsibility cannot lawfully be excluded.
17. Payments and Third-Party Transactions
Payment obligations for construction work, products or other services will be governed by the applicable written agreement, invoice or purchase order.
Do not send funds based solely on payment instructions received through an unexpected email, messaging application or altered document. Confirm material payment instructions through a previously verified communication channel.
Ujenzi Poa is not responsible for independent transactions between website users and unrelated third parties merely because information about that third party appeared on or was linked through the website.
18. Sanctions and Trade Compliance
You may not use the website or Ujenzi Poa’s services in connection with a person, organization, vessel, financial institution, product, destination or transaction prohibited under applicable sanctions, export-control, customs or trade laws.
You agree to provide information reasonably requested for compliance review, including information concerning:
Corporate registration;
Beneficial ownership;
Authorized representatives;
Source of funds;
Product destination;
End use;
Financial institutions;
Shipping parties; and
Other transaction participants.
Ujenzi Poa may suspend or terminate discussions when compliance concerns cannot be satisfactorily resolved.
19. Disclaimer of Warranties
To the fullest extent permitted by law, the website and its general informational content are provided on an “as is” and “as available” basis.
Ujenzi Poa disclaims warranties concerning:
Uninterrupted website availability;
Absence of technical errors;
Completeness or continuing accuracy of website information;
Availability of any product, service or opportunity;
Suitability of information for a particular purpose; and
Results obtained from reliance on website content.
Nothing in these Terms excludes warranties or rights that cannot lawfully be waived.
20. Limitation of Liability
To the fullest extent permitted by law, Ujenzi Poa and its owners, officers, employees, contractors and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from your use of—or inability to use—the website.
This limitation includes loss of profits, business opportunities, data, goodwill or anticipated savings resulting from reliance on general website information.
This section does not limit liability arising under a separately executed agreement. The liability provisions of that agreement will control the applicable project or transaction.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
21. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Ujenzi Poa and its owners, officers, employees, contractors and agents from third-party claims, liabilities, damages, judgments, costs and reasonable attorneys’ fees arising from:
Your unlawful use of the website;
Your violation of these Terms;
Information or materials you submit;
Your infringement of another party’s rights; or
Your fraudulent or unauthorized conduct.
Ujenzi Poa will provide reasonable notice of an indemnified claim and may participate in its defense.
22. Suspension and Termination
We may restrict, suspend or terminate your access to the website if we reasonably believe that you:
Violated these Terms;
Used the website unlawfully;
Created security or compliance risks;
Submitted fraudulent information; or
Interfered with the website or another user.
Termination does not affect rights or obligations that arose before termination.
23. Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these website Terms. Its application to a particular international sale may be addressed separately in the applicable Sales and Purchase Agreement.
24. Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for matters eligible for small-claims court, requests for temporary or injunctive relief, intellectual-property claims and disputes governed by a separate signed agreement, disputes arising from these Terms or use of the website will be resolved through individual binding arbitration.
Before initiating arbitration, the complaining party must send written notice describing the dispute and requested resolution. The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice.
If the dispute is not resolved, arbitration will take place in Hennepin County, Minnesota, unless the parties agree to remote proceedings or another location. The arbitration will be administered under mutually applicable arbitration rules and conducted by one neutral arbitrator.
Arbitration will proceed only on an individual basis. Neither party may pursue a class, collective or representative proceeding to the extent permitted by law.
You may opt out of this arbitration agreement by sending written notice to Ujenzi Poa within 30 days after first accepting these Terms. Your notice must include your name, contact information and a clear statement that you are opting out of the arbitration provision.
If this arbitration section is found unenforceable, disputes will be heard in the state or federal courts located in Hennepin County, Minnesota, and the parties consent to those courts’ jurisdiction.
This section does not replace the dispute-resolution terms of a separately signed construction, purchase, sale, mining or commercial agreement.
25. International Users
The website is operated from the United States. We do not represent that the website or its content is appropriate or legally available in every country.
Users accessing the website from another jurisdiction are responsible for compliance with applicable local laws.
26. Force Majeure
Ujenzi Poa will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, civil unrest, government restrictions, sanctions, labor disruptions, transportation interruptions, port closures, utility failures, cyber incidents or communication-system failures.
This section does not excuse payment or other obligations already due unless an applicable written agreement states otherwise.
27. Changes to These Terms
We may update these Terms when our services, technology, business practices or legal obligations change.
Revised Terms will be posted on this page with an updated “Last Updated” date. Material changes will apply prospectively unless applicable law requires otherwise.
Continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms.
28. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the greatest extent legally permitted, and the remaining provisions will remain effective.
29. No Waiver
Failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.
30. Assignment
You may not assign your rights or obligations under these Terms without our written consent.
Ujenzi Poa may assign these Terms as part of a merger, restructuring, sale of assets or transfer of website operations, subject to applicable law.
31. Entire Agreement
These Terms and the Privacy Policy constitute the complete agreement governing general use of the website.
Separate signed agreements governing construction services, product transactions, mining activities or other commercial relationships will control those matters. If a signed agreement conflicts with these website Terms, the signed agreement will control the specific subject addressed by that agreement.
